The short version
Verso is a software platform for branded discovery pages, AI-assisted recommendations, lead capture, creator attribution, connected-channel intelligence, and aggregate analytics. You are responsible for the content you publish, the accounts you connect, and the decisions you make with platform outputs. AI can be wrong, submissions may be routed to the relevant advisor, creator, or partner, third-party bookings and purchases remain between the relevant parties, and attribution or commission reporting may be estimated or later adjusted.
Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the Verso platform, including withverso.io, public discovery pages, creator and property pages, advisor dashboards, widgets, intelligence features, enterprise reports, APIs, and related communications (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company, agency, hotel group, brand, or other organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Services. If a separate written agreement or order form between you and Verso covers specific paid or enterprise use of the Services, that agreement controls to the extent of any conflict with these Terms.
Eligibility and Authorized Use
You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if your access or use would violate applicable law, sanctions, or third-party platform rules.
You are responsible for ensuring that your teammates, contractors, operators, and connected accounts use the Services lawfully and in accordance with these Terms.
The Services
Advisor and Creator Tools
Verso provides software that helps advisors, creators, brands, and enterprise users create branded public pages and discovery experiences across travel, beauty, and real estate, capture and qualify leads, collect discovery responses, manage destinations, products, and properties, track attribution, and manage communications with prospective clients and partners. Features may include public recommendation pages, creator property pages, inquiry workflows, dashboards, embeddable widgets, media kits, and related analytics.
Intelligence and AI Features
Verso may crawl websites or connected profiles that you authorize, extract structured information from content you control or have rights to use, generate itineraries, routines, recommendations, and summaries, and surface semantic insights and draft communications. These features are designed to assist your workflow, not replace your judgment.
Enterprise and Aggregate Products
Verso may provide aggregate reports, dashboards, APIs, and other intelligence products derived from platform activity. These products may include trend and segment data, attribution metrics, and demand insights, and may be subject to minimum aggregation thresholds and separate commercial terms.
Accounts and Security
Some parts of the Services require an account and may be invite-only. You must provide accurate, current information and keep it updated. You are responsible for all activity under your account and for safeguarding passwords, invite links, tokens, and session credentials.
You must promptly notify Verso if you suspect unauthorized access, credential compromise, or misuse of your account or any connected integration.
Privacy and Data Processing
Privacy Policy
Your use of the Services is also subject to the Verso Privacy Policy at /privacy, which explains how Verso collects, processes, stores, and protects data. The Privacy Policy is incorporated into these Terms by reference.
Your Responsibilities for Data You Submit or Connect
If you upload data, connect accounts, or use Verso to process customer, guest, follower, lead, or partner information, you represent that you have all rights, notices, consents, permissions, and other legal bases required to permit that processing.
You are responsible for your relationship with your customers, followers, clients, and partners, including any disclosures, consents, or promises you make to them.
AI and Automated Outputs
AI-generated recommendations, itineraries, routines, summaries, extracted entities, signal classifications, and drafted messages may be incomplete, inaccurate, or outdated. You are responsible for reviewing outputs before publishing, relying on, sending, or acting on them.
Verso does not guarantee bookings, conversions, performance lifts, audience growth, supplier perks, inventory completeness, or the accuracy of any AI-generated output. Travel availability, pricing, ingredients, supplier policies, product suitability, and third-party content may change without notice.
The Services are not a substitute for professional advice. Verso does not provide medical, legal, tax, accounting, insurance, investment, or real estate brokerage advice.
Advisor, Creator, Brand, and Enterprise Responsibilities
If you use the Services as an advisor, creator, brand, or enterprise user, you are solely responsible for:
- the claims, descriptions, pricing, availability, perks, booking codes, disclosures, and recommendations you publish through the Services;
- your communications with leads, customers, hotel partners, brands, merchants, or other third parties;
- ensuring you have rights to use your brand assets, images, copy, product information, hotel information, and supplier materials;
- compliance with advertising, consumer protection, travel, beauty, hospitality, privacy, intellectual property, and other laws that apply to your business; and
- your decisions to accept, reject, route, forward, fulfill, or otherwise handle any inquiry, booking, lead, or recommendation.
Consumer Interactions and Third-Party Transactions
Verso Is a Software Platform
Verso facilitates discovery, lead capture, inquiry routing, attribution, analytics, and related intelligence. Unless Verso expressly says otherwise in a separate written agreement, Verso is not the merchant of record, travel supplier, hotel operator, tour provider, beauty brand, payment processor, or real estate broker for transactions initiated through the Services.
Your Third-Party Relationships
Any booking, purchase, consultation, inquiry, reservation, or other transaction is between the relevant user and the advisor, creator, hotel, brand, merchant, or other third party involved. Third-party terms, pricing, policies, availability, shipping practices, cancellation rules, and booking conditions apply.
Verso is not responsible for cancellations, availability changes, shipping issues, supplier performance, property conditions, product reactions, chargebacks, or disputes between users and third parties.
If you submit a discovery response, itinerary request, consultation, inquiry, or similar form through the Services, you authorize Verso to route the information you provide to the relevant advisor, creator, hotel, brand, merchant, or partner so they can review your request and follow up with you.
Text Messaging (SMS) Terms
On some Partner concierge pages, you can choose to receive your saved route by text message. If you enter your mobile number and submit the form, With Verso, Inc. sends one text containing a link to your route. It is a single message, not a subscription, and we do not send recurring or marketing texts. By submitting your mobile number you consent to receive that one message.
Reply STOP to any message to opt out; you will not receive further texts from us. Reply HELP for help, or contact us at anand@withverso.io. Message and data rates may apply. Message frequency is one message per request. Carriers are not liable for delayed or undelivered messages.
Messages are delivered by our SMS provider, Telnyx, which receives the destination mobile number and message content solely to deliver the message. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent will not be shared with any third parties except that provider. How we handle your mobile number is described in the Privacy Policy at /privacy.
Connected Accounts and Platform Rules
If available for your account or implementation, and you connect email, Instagram, WhatsApp, or other third-party accounts, you instruct Verso to access and process data within the scope of the permissions you grant. You may only connect accounts that you own or are authorized to manage.
Your use of connected accounts remains subject to the terms, policies, approval requirements, technical restrictions, and messaging windows of the relevant provider, including Meta's Platform Terms and messaging restrictions. Some integrations may be inbound-only, rate-limited, approval-gated, or otherwise limited by the relevant provider. Verso may limit, suspend, or remove integrations at any time if required by a provider, by law, or by security or abuse concerns.
Acceptable Use
You may not:
- use the Services in violation of law, regulation, sanctions, court order, or third-party rights;
- impersonate another person or entity, misrepresent supplier relationships, or falsify attribution, referral, booking, or inquiry data;
- scrape, copy, export, reverse engineer, or use the Services, reports, or outputs to build a competing product, model, or dataset except as expressly permitted in writing;
- upload malware, interfere with the Services, bypass security, authentication, or rate limits, or probe for vulnerabilities;
- use the Services to send spam, harassment, deceptive communications, or messages that violate platform rules or marketing laws;
- submit or process data for which you do not have sufficient rights or authorization; or
- use the Services in any high-risk context where failure could lead to death, personal injury, or significant property or environmental damage.
Content, Data Rights, and Intellectual Property
Your Content and Data
As between you and Verso, you retain ownership of the content, data, text, images, brand assets, listings, prompts, and materials you submit to the Services ("User Content"). You grant Verso a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transform, analyze, transmit, display, and otherwise use User Content as necessary to operate, secure, improve, and provide the Services, including AI processing, search, attribution, analytics, fraud prevention, and support.
Aggregated Data and Feedback
You also grant Verso permission to use aggregated and de-identified data derived from use of the Services for benchmarking, product improvement, reporting, and intelligence products, provided that such use does not identify you or your end users individually.
If you provide feedback, suggestions, or ideas about the Services, Verso may use them without restriction or compensation to you.
Verso Intellectual Property
Verso and its licensors own the Services, software, models, design, trademarks, branding, documentation, and all related intellectual property, excluding User Content. Except as these Terms expressly allow, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services or use them to build a competing product or dataset.
Fees, Subscriptions, Trials, and Referral Programs
Some features are offered on a paid subscription or under a separate order form. You agree to pay applicable fees, taxes, and charges that are presented to you at signup, renewal, or in a separate commercial agreement. Unless stated otherwise, subscriptions renew until canceled.
Trials, credits, discounts, and promotional offers may be changed or withdrawn at any time and may convert to paid service if described at signup. Except as required by law or expressly stated in writing, fees are non-refundable.
If Verso offers referral payouts, attribution commissions, or partner incentives, those programs remain subject to additional program rules and may be withheld, reversed, or discontinued in cases of fraud, abuse, self-dealing, invalid attribution, chargebacks, supplier disputes, policy violations, or later corrections to attribution data. Any attribution, commission, conversion, or revenue figures shown in the Services may be estimated, delayed, dependent on partner confirmation, and subject to later adjustment.
Availability, Beta Features, and Changes to the Services
The Services are evolving and may include alpha, beta, pilot, or invite-only features. Features, integrations, workflows, models, limits, and eligibility rules may change without notice. Verso may add or remove capabilities, impose rate limits, or suspend access to protect the Services, comply with law, or respond to provider or platform changes.
Verso does not guarantee uninterrupted availability, message delivery, data preservation, response times, or that any third-party integration will remain available. Scheduled maintenance, outages, and provider interruptions may affect access or functionality.
Suspension and Termination
You may stop using the Services at any time. Verso may suspend or terminate your access, remove content, or disable integrations if Verso reasonably believes: (1) you violated these Terms or applicable law, (2) your use creates security, fraud, abuse, or liability risk, (3) a provider or platform requires restriction, or (4) continued access would harm other users, partners, or the Services.
Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including sections on payments, data rights, intellectual property, disclaimers, limitations of liability, indemnification, and contact or notice obligations.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VERSO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, VERSO DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, TIMELY, COMPLETE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY LEAD, BOOKING, SALE, COMMISSION, MESSAGE, PERK, OR ATTRIBUTION EVENT WILL OCCUR, BE TRACKED, OR BE RECOVERABLE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERSO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BOOKINGS, COMMISSIONS, CLIENT RELATIONSHIPS, OR BUSINESS OPPORTUNITY, EVEN IF VERSO WAS ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERSO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VERSO FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.
Some jurisdictions do not allow certain limitations or exclusions. In those jurisdictions, the above limitations apply only to the extent permitted by law.
Indemnification
You will defend, indemnify, and hold harmless Verso and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (1) your User Content, (2) your use of the Services, (3) your breach of these Terms, (4) your dealings with consumers, advisors, creators, hotels, brands, merchants, or other third parties, or (5) your violation of any law, regulation, platform rule, or third-party right.
Changes to These Terms
Verso may update these Terms from time to time. If Verso makes a material change, Verso may provide notice by email, through the Services, or by posting an updated version on this page with a revised "Last updated" date. By continuing to use the Services after the updated Terms become effective, you agree to the revised Terms.
